Terms & Conditions
Last updated: October 17, 2026 · Version 2.0 · Operated by EDUVIXA NIGERIA LTD
1. Who we are and what these Terms cover
These Terms & Conditions (“Terms”) are the agreement between you and EDUVIXA NIGERIA LTD (“EduVixa”, “we”, “us”), a company registered in Nigeria under registration number RC 9486988, whose registered office is at 8 Arogundade Street, Lagos, Nigeria. They apply to your use of the EduVixa website at eduvixa.com, our web app, and related services (together, the “Platform”).
By creating an account, ticking the acceptance box, or using the Platform, you agree to these Terms. If you do not agree, please do not use EduVixa.
These Terms work together with the following documents, which form part of the agreement:
- Privacy Policy — how we handle personal data under the Nigeria Data Protection Act 2023 (“NDPA”);
- Cookie Policy — cookies and similar technologies;
- Refund & Cancellation Policy — cancellations, refunds and credits;
- Safeguarding Policy — how we protect learners, especially children; and
- Tutor Code of Conduct — standards every tutor agrees to.
If these documents conflict, the Safeguarding Policy prevails on child-safety matters, the Refund & Cancellation Policy prevails on refunds, and otherwise these Terms prevail.
2. What EduVixa is
EduVixa is an online marketplace that connects learners with independent, third-party tutors. Tutors are not employees, agents, partners or representatives of EduVixa. Each tutor is an independent contractor who is solely responsible for the lessons they teach. EduVixa’s role is to provide the technology for discovery, scheduling, messaging, video lessons and payment, to review tutor applications, and to apply the rules in these Terms. EduVixa does not itself provide tutoring.
When a lesson is booked, the tutoring service is provided by the tutor to the learner (or, for a child, to the guardian who booked it). EduVixa processes the payment, keeps its commission, and pays the balance to the tutor as described in sections 5 and 6.
3. Accounts and eligibility
Who can hold an account. You must be at least 18 years old, and have the legal capacity to enter into a binding contract, to create an EduVixa account. Children under 18 cannot create or sign in to their own accounts. A child may use EduVixa only through a learner profile created and managed by their parent or legal guardian (see section 4).
Your account. You must give accurate, current information, keep it up to date, and keep your login details confidential. You are responsible for everything done through your account. Tell us promptly if you suspect unauthorised use. We encourage you to turn on multi-factor authentication where it is offered. One person may not hold several accounts to avoid a suspension, a limit, or a fee.
Additional rules for tutors. To teach on EduVixa you must (a) be at least 18; (b) be legally permitted to offer the services you list; (c) complete our application and identity-verification process before your profile is visible; (d) give true information about your identity, qualifications and experience; (e) teach lessons yourself — you may not let anyone else teach under your profile; and (f) comply with the Tutor Code of Conduct and the Safeguarding Policy. Approval means only that you passed our review at the time; it is not an endorsement or guarantee of any tutor’s suitability, and we may re-verify, restrict or remove a tutor at any time.
4. Parents, guardians and learners under 18
If you book lessons for a child, you confirm that you are the child’s parent or legal guardian, that you are at least 18, and that you have the authority to agree to these Terms on the child’s behalf. In particular:
- You manage the child’s learner profile, which holds only a preferred name or nickname and an age range. Do not add a school, home address, phone number, photographs or health details.
- All bookings, messages and payments for the child are made through your account. You are responsible for the child’s use of the Platform and for any breach of these Terms by the child.
- You must supervise lessons appropriately for the child’s age. For learners aged 5–12 an adult should be present or immediately available throughout the lesson, and for learners aged 13–17 an adult should know when lessons take place and be within reach. See the Safeguarding Policy for practical guidance.
- You consent to the handling of the child’s limited profile data as explained in the Privacy Policy, and you may withdraw that consent at any time by deleting the profile or contacting us.
We may ask you to confirm your relationship to a child, and we may suspend a learner profile if we cannot reasonably verify it.
5. Tutors on the Platform
Tutors set their own lesson prices and availability, decide how to teach, and are responsible for their own taxes, licences, insurance and any permissions needed in the places where they live and work. A tutor has no authority to make promises or bind EduVixa. Tutors must keep their profile accurate and must not make misleading claims about qualifications, results or affiliations.
Payouts to tutors are made to the payout method the tutor has set up and verified, subject to the minimum thresholds and schedule shown in the tutor’s earnings page. We may delay, withhold or reverse a payout where we reasonably suspect fraud, a payment dispute or chargeback, a breach of these Terms, or where the law requires it, and we will tell the tutor why unless the law prevents us.
6. Bookings, prices, fees and payments
The price of a trial lesson or subscription is shown before you pay and is charged through our third-party payment providers. Where applicable taxes apply, they are included or shown at checkout. If you pay in a currency other than the one in which a tutor sets their price, the conversion rate and any bank or card fees are those shown at checkout or charged by your bank or card provider.
EduVixa keeps a commission on completed lessons and subscription payments, disclosed in tutor pricing where relevant, and pays the balance to the tutor. Subscriptions renew automatically each billing cycle until cancelled, as described in the Refund & Cancellation Policy.
Promo codes and referral credits have no cash value, cannot be transferred or combined unless stated, and may be withdrawn or cancelled if we reasonably believe they have been abused. If you think a charge is wrong, please contact us before you ask your bank for a chargeback so that we can fix it quickly; a chargeback made in bad faith may lead to suspension.
You must have the right to use the payment method you choose, and you authorise us and our payment providers to charge it. We do not store your full card number on our servers.
7. Cancellations and refunds
Cancellations, refunds and credits are governed by our Refund & Cancellation Policy. Nothing in that policy or these Terms limits any right you have as a consumer under applicable law, including the Federal Competition and Consumer Protection Act 2018 of Nigeria.
8. Using the Platform responsibly
Everyone using EduVixa agrees to communicate respectfully and lawfully. You must not:
- harass, threaten, abuse, discriminate against, exploit or endanger anyone, or send sexual, violent, hateful or otherwise inappropriate content;
- give false information, impersonate another person, or use another person’s account or payment method without permission;
- upload unlawful content or content that infringes anyone’s rights;
- misuse the payment, referral, promo-code or review systems, or post fake or paid-for reviews;
- copy, scrape, reverse-engineer, overload or probe the security of the Platform, or introduce malware;
- use the Platform to help anyone cheat in an examination or submit another person’s work as their own; or
- use the Platform to contact, groom, or gather information about a child other than to arrange and take lessons as these Terms allow.
Keeping lessons and payments on EduVixa
Learners, guardians and tutors agree to keep lesson-related communication and payment on the Platform and not to use EduVixa to avoid fees by arranging payment outside it.
Tutors specifically agree not to contact, or attempt to contact, a learner or guardian outside the EduVixa platform. This includes exchanging personal phone numbers, email addresses, or social media or messaging-app details, and communicating through any channel other than EduVixa’s own messaging and lesson tools — whether or not the aim is to take payment outside the Platform. Keeping the relationship on the Platform is what lets us protect both sides: it is how disputes are resolved fairly, how learner safety — especially a child’s — is maintained, and how a tutor’s earnings and reviews stay protected. A tutor found contacting a learner off-platform may be suspended or permanently removed, whether or not any payment was involved.
9. Lessons, recordings and messages
- Video lessons take place in EduVixa’s lesson room, which is provided through a third-party video provider. Do not move a lesson to another app or service.
- Recording. Lesson recording is available only where we have enabled it, and only through EduVixa’s own recording control. A tutor must tell the learner (or guardian) before recording starts and, where the learner is under 18, must have the guardian’s prior agreement. Nobody may record, screenshot, photograph or share a lesson by any other means without everyone’s permission. Recordings are private to the people in the lesson and to authorised EduVixa staff reviewing a report or dispute.
- Messages. Messages sent through EduVixa are not private from us. We do not routinely read them, but we may access them where a report, dispute, safety concern, fraud check or legal obligation requires it, as explained in the Privacy Policy.
10. Safety, reports and our right to act
You can report a concern from a tutor’s profile or lesson page, or through Support. If someone is in immediate danger, contact the emergency services (in Nigeria, dial 112) first. How we handle safety reports is set out in the Safeguarding Policy.
Where we reasonably believe it is necessary to protect a learner or anyone else, to prevent fraud, or to comply with the law, we may immediately suspend or restrict an account, hide a profile, pause payouts, preserve records, and share information with the police or other competent authorities. We will use reasonable efforts to tell the affected user what happened and how to respond, unless the law or an investigation prevents us.
11. Content and intellectual property
You keep ownership of content you upload or create on the Platform (profile photos, videos, lesson materials, messages, reviews). You give EDUVIXA NIGERIA LTD a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and distribute that content on and through the Platform as needed to run, secure and promote the service, for as long as it is on the Platform. You promise that you have the rights needed to give us this licence and that your content does not infringe anyone’s rights.
The EduVixa name, logo, software and Platform design belong to EDUVIXA NIGERIA LTD or its licensors and may not be used without our written permission. If you believe content on the Platform infringes your copyright, send details to legal@eduvixa.com and we will review it promptly.
If you send us feedback or suggestions, we may use them without obligation to you.
12. Third-party services and links
The Platform relies on third-party services (for example payment processing, video, hosting and sign-in) and may link to other websites. We are not responsible for services we do not control, and their own terms and privacy notices apply to your use of them.
13. Availability and changes to the service
We work to keep the Platform available, but it is provided on an “as available” basis and we cannot promise it will be uninterrupted or error-free. We may add, change or remove features, with reasonable notice where a change materially affects you.
14. Disclaimers
EduVixa does not guarantee any particular learning result, grade or exam outcome. Tutors are independent: apart from our application and review process and the actions described in these Terms, we are not responsible for the conduct, teaching quality or qualifications claims of any tutor, or for the conduct of any learner or guardian. Nothing in this section limits our responsibility for our own legal obligations, including those described in the Safeguarding Policy.
15. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any right you have as a consumer under applicable law.
Subject to that, and to the fullest extent permitted by law: (a) EduVixa is not liable for indirect or consequential loss, loss of profit, loss of opportunity or loss of data; and (b) EduVixa’s total liability to you arising from your use of the Platform is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
16. Your responsibility for misuse
To the extent permitted by law, you will compensate EduVixa for losses, claims and reasonable costs we suffer because you breached these Terms or applicable law, or infringed someone’s rights, through your use of the Platform. This does not apply to the extent the loss was caused by EduVixa.
17. Suspension and termination
You may close your account at any time from Settings. We may suspend or terminate access if you breach these Terms or the policies they incorporate, if we reasonably suspect fraud, if a safety concern requires it (section 10), if the law requires it, or otherwise on reasonable notice. Where practical we will tell you why and how you can respond; you may appeal by writing to support@eduvixa.com.
When an account closes, bookings are handled under the Refund & Cancellation Policy, and unpaid amounts remain due. Provisions that by their nature should continue — including payment obligations, the licence in section 11 for content already shared, sections 15 and 16, and section 20 — survive termination.
18. Privacy and data protection
We process personal data in line with the Nigeria Data Protection Act 2023 and our Privacy Policy. Please read it; it explains your rights, including how to complain to the Nigeria Data Protection Commission.
19. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the service, the law, or our practices. For material changes we will notify you in the app or by email at least 14 days before they take effect, except where a change is required by law or is needed urgently to protect safety or security. If you keep using EduVixa after a change takes effect, you accept the updated Terms; if you do not agree, you may close your account before then.
20. Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or the Platform, are governed by the laws of the Federal Republic of Nigeria.
Talk to us first. If you have a complaint, please write to support@eduvixa.com. We will acknowledge it promptly and try to resolve it in good faith within 30 days. For payment, booking and lesson-quality issues, see also the dispute process in the Refund & Cancellation Policy.
Courts. If a dispute cannot be resolved informally, the courts of Lagos State, Nigeria, have jurisdiction to settle it. This does not stop you from referring a consumer complaint to the Federal Competition and Consumer Protection Commission or from bringing proceedings in another court where mandatory law gives you that right. If you live outside Nigeria, these Terms do not take away any mandatory consumer protection you have under the law of the place where you live.
21. General
- Entire agreement. These Terms and the documents listed in section 1 are the whole agreement between you and EduVixa about the Platform.
- Severability. If a provision is found unenforceable, the rest remains in effect.
- No waiver. A delay in enforcing a right is not a waiver of it.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of our business, and will tell you if that affects your data or rights.
- Third parties. Only you and EduVixa have rights under these Terms. Tutors and other users are not third-party beneficiaries.
- Events beyond our control. We are not responsible for failure or delay caused by events outside our reasonable control, such as power or network failure, a failure of a third-party provider, or acts of government.
- Notices. We may give notice by email, in the app, or by posting on the Platform. You may give notice to legal@eduvixa.com.
- Language. These Terms are written in English, and the English version prevails if any translation differs.
